INTRODUCTION:
IMA World Health is currently registered in Tanzania as “Interchurch Medical Assistance, Inc.” as a non-governmental organization under I-NGO/0009460, dated 16/01/2018, with the Registrar of Non-Governmental Organizations, Ministry of Health, Community Development, Gender, Elderly and Children. Lutheran World Relief is currently registered in Tanzania as a as a non-governmental organization under I-NGO/0009694, dated 28/05/2018. It is an international nonprofit, faith-based organization (FBO) with the core vision on health, healing and well-being for all targeting the most vulnerable and marginalized people in the developing world. IMA in Tanzania has long working relationship with the Ministry of Health Community Development Gender, Elderly and Children (MOHCDGEC) to control and eliminate neglected tropical diseases (NTDs) through morbidity management and mass drug administration campaigns in the endemic regions of Mainland Tanzania, under the USAID-funded Act to End NTDs | East program. IMA and the MOHCDGEC are also jointly implementing the ‘SAFE’ (surgery, antibiotics, facial cleanliness, environment) program to eliminate blinding trachoma in Mtwara and Pwani through trachomatous trichiasis (TT) surgery under funding support from the UK Aid-Department for International Development (DFID).

Lutheran World Relief (LWR) began its work in Tanzania in 1961 distributing food to a population suffering from a food crisis resulting from a combination of drought and floods. LWR continues to work in Tanzania with an emphasis on capacity strengthening of farmer organizations and long-term food security. LWR programs are implemented through farmer groups and faith-based organizations throughout the country, with a concentration in the Dodoma, Iringa, Kagera and Morogoro regions.

Lutheran World Relief (LWR) and IMA World Health (IMA) have recently joined forces to expand our ability to empower people to break the cycle of poverty and lead healthy lives. As part of this combination, we created a new parent organization in the United States, Corus International, Inc. (Corus), while preserving both LWR and IMA, as well as other subsidiaries, as fully registered entities under the new parent organization. Corus is registered as a Maryland nonstock nonprofit corporation as of September 26, 2019.

We are seeking to register Corus in Tanzania in a way that will not jeopardize our ability to continue operating under our current registrations as IMA and LWR. We are seeking a registration that will allow Corus to conduct a broad array of activities—including but not limited to agriculture, health, education, climate change, natural resource management, conservation, disaster risk reduction, emergency response and humanitarian assistance— and that will not restrict the organization’s activities from a sectoral or geographic approach. We are seeking a Corus registration that allows for all Corus entities to be authorized to operate in Tanzania under the Corus registration without its own separate registration. Corus is not yet operating in Tanzania and we do not want to change anything with our current operations at this point. Ultimately, we would like to migrate our local in-country staff and programs to the new Corus registration.
We seek support to obtain the necessary registration for Corus in a way that ensures our ability to continue operating under our existing registration until the new one is obtained.

SCOPE OF WORK
IMA World Health invites qualified legal service providers to submit offers in accordance with the requirements and specifications listed in this document

Activities:
  • Provide counsel to IMA on:
                 o Type of registration and/or ministry to pursue for broad coverage for Corus in sectoral, geographic and subsidiaries.
                 o  Any legal requirements and obligations that registration will entail, including but not limited to office rental, taxation, and employment of national and international staff.
                 o Requirements for obtaining and maintaining charitable status.
                 o Additional regulatory approvals to ensure the ability of Corus and its subsidiaries to conduct business under the name of any and all combination of legal entities’ in country from entering into contractual agreements to opening and operating bank accounts.
  • Establish timeline and series of steps required to complete the registration process.’
  • Prepare and submit all required documents for submission to government agencies and other entities for completion of Corus registration and associated registrations (e.g. with the tax authority).
  • Following successful Corus registration, counsel on the process to move current assets from the current registration to the Corus registration.

Anticipated Deliverables:
  • Completed registration records of Corus International with appropriate GOT entity as International NGO, with all approvals and permissions obtained
  • Most appropriate format (presentations, reports, verbal briefings, etc.) to document counsel provided.
  • Documentation of communication with all stakeholders responsible for approval of registration.
  • Documentation that Corus registration documents were properly submitted.
  • Copies of legal documents and communications with stakeholders in English.

SUBMISSION INSTRUCTIONS
In order to be considered, proposals must include all of the following:

  1. Cover sheet (using Attachment A).
  2. Narrative proposal, not to exceed 5 pages, describing your ability to accomplish described scope.
  3. Cost proposal for the proposed services and proposed method of invoicing.
  4. Organizational details, including firm name, firm legal form and partners, year established, bar admissions, copy of firm’s certification (including TIN certificate, copy of business permit and Valid Tax Compliance certificate ), bar certifications/cards of the lawyers who will work on our file (limit five pages).
  5. Name of any international association to which your firm belongs.
  6. Disclosure of anyone in your firm currently serves as a government official or has served as a government official in the past 5 years.
  7.  Description of your experience in supporting International NGOs in corporate registration and restructuring in your country, including related legal issues associated with taxation and labor law (limit two pages).
  8.  Description of your experience with U.S. Government Funded projects in your country (limit two pages).
  9. Description of your familiarity with the Bilateral Agreement between the United States and your Country with respect to certain U.S. Government Funded projects (limit one page).
  10. Two references to other international NGOs whom your firm has served and provide a brief description as to the kinds of services rendered.
  11.  A copy of the embassy referral listing showing your firm’s inclusion if you are on any embassies’ Legal Referral List. 
  12.  Audited accounts for the last 3 years

Proposals will be evaluated based on the following criteria:

  • Completeness of the proposal, addressing all required elements
  • Ability to meet the scope of work
  • Price and value
  • Acceptable past performance

Proposals must be submitted in electronic format to tzprocurement@imaworldhealth.org by April 17th, 2020 at 5pm EAT.
Ø Queries related to this proposal must be submitted in electronic form to the aforementioned contact by April 6, 2020 at 5pm EAT.
Ø Proposals submitted after the deadline has passed or that do not include all of the information requested may be rejected.

Ø This Request for Proposals is non-binding and in no way obligates IMA World Health to award any contract. IMA World Health reserves the right to adjust the scope of work, or to make no award.
